The Spinnaker Investment Model

Spinnaker Capital’s current focus is a managed portfolio of studio-aligned motion-picture investments. Each film is evaluated on its own investment merits and its contribution to the portfolio, within the fund’s defined mandate.

Our approach combines relationship-driven access, project-level underwriting, disciplined governance and portfolio construction.

RELATIONSHIP-DRIVEN ACCESS

We source film opportunities through established relationships with studios, producers, rights holders, distributors and entertainment financiers. Access creates the opportunity for evaluation; every investment remains subject to diligence and approval.

PROJECT-LEVEL UNDERWRITING

We assess audience demand, production budgets, financing plans, rights, distribution arrangements and contractual economics. Our analysis considers fees, marketing costs, recoupment priorities, downside scenarios and the timing of potential investor cash flows.

GOVERNANCE & OVERSIGHT

Our framework combines fund-level investment approvals and capital controls with negotiated project-level reporting and oversight rights. The scope of those rights depends on each investment’s structure and definitive agreements.

PORTFOLIO CONSTRUCTION

We evaluate each film’s proposed allocation alongside the portfolio’s exposure to studios, genres, audiences and release schedules. Investment selection considers concentration, capital requirements and the timing of potential receipts, while recognizing that film investments remain subject to substantial risk.

Spinnaker Capital evaluates each film on its individual merits and within the fund’s investment mandate. Our process connects sourcing and underwriting with investment approval, transaction structuring and ongoing oversight.

  • Identify studio-aligned film opportunities through established industry relationships. Screen for commercial potential, experienced production teams, financing requirements, distribution arrangements and fit with the fund’s mandate.

  • Evaluate budgets, rights, financing plans, distribution economics, recoupment priorities and potential cash-flow timing. Test downside scenarios and assess each proposed investment’s contribution to portfolio concentration and risk.

  • Present the investment case, material risks, proposed terms and any conflicts for review under the fund’s investment approval procedures. Commitments remain subject to required approvals, satisfactory diligence and definitive documentation.

  • Finalize contractual economics, reporting obligations and negotiated oversight rights. Deploy capital in accordance with approved commitments, documented uses of proceeds and applicable funding conditions.

  • Monitor production and release developments, financial performance and investment receipts. Exercise contractual oversight rights and provide investors with reporting on portfolio progress, material developments and risks.

Underwriting Each Film
Within the Portfolio

Every film must support a credible investment case. Spinnaker Capital evaluates commercial potential alongside the contractual rights, financial structure and execution requirements that determine how the fund may participate in its success.

Our underwriting considers both individual investment merits and portfolio implications, including concentration, funding requirements, release timing and potential cash flows.

COMMERCIAL THESIS & AUDIENCE

The intended audience, evidence of demand, comparable films, competitive release environment and commercial assumptions supporting the proposed budget.

INTELLECTUAL PROPERTY & RIGHTS

Underlying rights, chain of title, licensing restrictions and the scope of the fund’s economic participation. Recognition or franchise potential matters only to the extent the investment benefits contractually.

BUDGET & FINANCING

Production budget, committed and prospective financing, contingencies, funding schedule and remaining capital needs. We assess how financing gaps or cost overruns could affect the fund’s investment.

PRODUCTION & DISTRIBUTION

The experience and responsibilities of producers, filmmakers, studios and distributors, together with production readiness, completion arrangements, release plans and marketing commitments.

CONTRACTUAL ECONOMICS & RECOUPMENT

Revenue participation, distribution fees, marketing-cost recoupment, other deductions and payment priorities. We evaluate how film revenues translate into potential fund receipts, and when those receipts may occur.

GOVERNANCE & ALIGNMENT

Negotiated approval, information and audit rights; reporting obligations; counterparty incentives; and conflicts of interest. Oversight must reflect the rights actually available under each investment’s agreements.

DOWNSIDE & RISK MITIGATION

Sensitivity to weaker revenues, higher costs, delays and counterparty failures. We assess available contractual protections, insurance and completion arrangements where applicable, recognizing that these do not eliminate investment risk.

PORTFOLIO FIT & CONCENTRATION

Allocation size and exposure across studios, genres, audiences, counterparties and release schedules. Each investment must fit the fund’s mandate and be considered alongside existing commitments and available capital.

Governance at the Fund and Investment Levels

Investing through a managed film fund requires confidence in how investments are selected, capital is deployed, conflicts are addressed and results are reported.

Spinnaker Capital’s framework distinguishes between governance of the fund and contractual oversight of individual film investments. The manager’s authority and responsibilities are defined by the fund documents; project-level rights are negotiated in each transaction.

The specific rights and protections associated with any investment are established exclusively by the applicable definitive agreements and offering documents.

FUND GOVERNANCE

A defined investment mandate, formal investment approval procedures, portfolio parameters and documented conflicts policies guide decision-making. The framework also addresses valuation, expense allocation and related-party transactions, including arrangements involving other Spinnaker entities.

INVESTMENT OVERSIGHT

For each film, we evaluate and negotiate reporting, information, audit and applicable consent rights. Oversight reflects the investment’s structure and contractual position, while recognizing the responsibilities retained by studios, producers and distributors.

CAPITAL CONTROLS

Capital deployment is governed by approved commitments, documented uses of proceeds, funding conditions and applicable milestones. We monitor remaining obligations, reserves and material budget changes. Fund capital is managed within its mandate, separately from the financing needs of Spinnaker’s operating platform.

REPORTING & ACCOUNTABILITY

Our reporting framework calls for quarterly investor updates covering portfolio developments, financial performance, capital activity, fees and expenses, and material risks. Valuations, conflicts and related-party arrangements are addressed under the fund’s governing policies and disclosure requirements.

Portfolio Construction and Risk Discipline

Spinnaker Capital evaluates each film both on its own merits and within the overall portfolio. We consider allocation size, exposure to studios and distribution partners, audience overlap, production and release schedules, remaining funding obligations and the timing of potential receipts.

A focused film portfolio can have significant concentration, and different films may be affected by the same market conditions. We assess these shared exposures alongside individual project risks when selecting and sizing investments.

Studio involvement, recognizable intellectual property and contractual protections do not assure investment performance. Film investments are illiquid, receipts may be delayed, and investors may lose some or all of their invested capital. Diversification may help manage certain exposures but cannot eliminate these risks.



SELECTIVE DEPLOYMENT

We commit capital only after an opportunity satisfies the fund’s underwriting, mandate and approval requirements. Transaction deadlines inform the process but do not replace diligence or investment discipline.



EXPOSURE MANAGEMENT

We assess allocation sizes and shared exposures across films, studios, distributors, audiences and release schedules. Portfolio decisions also consider remaining funding commitments, reserves and potential delays in investment receipts.

Funding follows contractual obligations, with milestone-based deployment where negotiated. We monitor production progress, budget changes, delivery, release developments and receipts through available reporting and oversight rights.


FUNDING & ONGOING MONITORING
We cannot eliminate film-investment risk. Our responsibility is to evaluate it rigorously, negotiate appropriate protections, manage exposures and communicate material developments clearly.

An investment decision requires a clear understanding of the fund’s mandate, economics, governance and risks. Investors evaluate participation in the fund; the manager selects and oversees individual film investments within the authority established by the governing documents.

The studio-aligned film mandate, permitted investments, selection process and concentration parameters. Any identified opportunities are distinguished from completed investments and remain subject to applicable approvals and closing conditions.

Capital commitments and calls, permitted uses of proceeds, reserves, management fees, expenses, carried interest and the distribution waterfall.
 
GOVERNANCE & ALIGNMENT
Investment approval procedures, manager authority, GP commitment, conflicts policies, related-party arrangements and allocation of opportunities and expenses.

REPORTING & OVERSIGHT
Valuation policies, investor reporting, fund administration, audit arrangements and the scope of contractual oversight at the film-investment level.

The investment period, fund term, extension provisions, transfer restrictions, redemption limitations and the timing and uncertainty of distributions.

MATERIAL RISKS
Concentration, production and release risk, distribution economics, counterparty exposure, illiquidity and relevant legal, tax and regulatory considerations, including the potential loss of invested capital.
