Spinnaker evaluates selected studio-aligned film opportunities through a combination of industry experience and disciplined financial analysis. We work with prospective partners to understand the project, its financing needs and the role our capital could play.

Our focus is a workable partnership: a credible commercial case, aligned economics, clear responsibilities and appropriate accountability.

PROJECT &
PARTNER FIT

We consider the film’s audience, underlying rights, production team, studio involvement and distribution arrangements. We look for experienced partners and opportunities consistent with our film-investment mandate.

FINANCING & ECONOMICS

We assess the budget, financing plan, capital requirements and proposed investment terms. Discussions address revenue participation, distribution fees, marketing costs and recoupment priorities so each party understands the economics.

ROLES &
DECISION RIGHTS

We seek clarity on production, financing and distribution responsibilities, together with negotiated approvals and reporting rights. Our role reflects the transaction structure and respects the expertise of the teams making and releasing the film.

COMMUNICATION & FOLLOW-THROUGH

We agree on reporting expectations and communication around funding, production, delivery and release. Following investment, our engagement focuses on material developments, contractual obligations and financial performance.

  • Finalize agreements covering economic participation, responsibilities, reporting and negotiated oversight rights. Fund in accordance with contractual obligations once applicable closing and funding conditions are satisfied.

  • Maintain agreed communication around production, delivery, release and financial reporting. Monitor material developments, investment receipts and compliance with contractual obligations.

Our review begins with the film, the team, the financing need and the proposed role for Spinnaker. Where there is a potential fit, we work with partners to evaluate the opportunity, develop terms and identify the requirements for an investment decision.

Any commitment remains subject to satisfactory diligence, investment approval, available capital and definitive agreements. An initial discussion or review does not constitute a financing commitment.

What We Look for in a Film Opportunity

We consider selected studio-aligned films with a credible commercial case, experienced partners and a clearly defined financing need. Our review focuses on the project’s readiness, proposed economics and fit with our investment mandate.

COMMERCIAL CASE & AUDIENCE

A clearly identified audience, compelling creative proposition and supportable commercial assumptions. We consider comparable films, competitive positioning and whether the proposed budget is appropriate for the opportunity.

RIGHTS & PARTNER ALIGNMENT

Clear ownership or control of the necessary rights, together with defined responsibilities among producers, rights holders, studios and financing partners. We distinguish confirmed agreements from proposed relationships.

TEAM & PRODUCTION READINESS

Experienced producers and creative leadership, a credible production schedule and an achievable delivery plan. We examine outstanding dependencies, completion arrangements and how delays or cost overruns would be addressed.

BUDGET & FINANCING PLAN

A detailed budget, identified financing sources and a specific request for Spinnaker’s participation. We assess committed versus prospective capital, contingencies, funding dates and remaining financing gaps.

DISTRIBUTION & RELEASE

The status of studio and distribution arrangements, intended territories and release plans. We evaluate marketing responsibilities, anticipated costs and the contractual commitments supporting the route to audiences.

ECONOMICS & ACCOUNTABILITY

Proposed revenue participation, fees, recoupment priorities and payment timing, supported by appropriate reporting and oversight rights. We assess how weaker revenues, higher costs or delays could affect the investment.

DOWNSIDE RISK & MITIGATION

We evaluate how weaker revenues, production delays, cost overruns or counterparty failures could affect the investment. Our review considers available contingencies, insurance, completion arrangements and contractual protections, recognizing that these measures cannot eliminate investment risk.

INVESTMENT MANDATE & PORTFOLIO FIT

We consider whether the film fits our studio-aligned investment mandate and complements existing commitments. Allocation size, audience overlap, studio and distributor exposure, release timing and funding requirements all inform our assessment. A compelling project must also fit the portfolio.

Clear Governance. Disciplined Execution.

Clear responsibilities help partners execute effectively. For each film investment, we seek an agreed framework covering economics, funding obligations, reporting and the decisions requiring consultation or consent.

Studios, producers and distributors retain the responsibilities assigned to them under the transaction agreements. Spinnaker’s oversight reflects its negotiated rights and investment position, with a focus on capital, contractual performance and material developments.

The specific rights, responsibilities, economics, controls, and protections applicable to any opportunity are established exclusively through the relevant definitive agreements.

DECISION RIGHTS

The agreements define each party’s responsibilities and any consultation or consent rights concerning budgets, financing, production and distribution. Spinnaker’s approval rights are transaction-specific and do not imply general creative or operating control.

CAPITAL CONTROLS

Funding follows agreed commitments, permitted uses of proceeds and contractual conditions. Where negotiated, deployment is linked to milestones, with reporting and procedures for addressing material budget changes or additional financing needs.

REPORTING AND ACCOUNTABILITY

Agreed reporting covers production progress, delivery, release developments, financial results and investment receipts. Information and audit rights support visibility into contractual performance, material changes and emerging risks.

PARTNER ALIGNMENT

Clear economic participation, recoupment priorities, responsibilities and communication expectations support a workable partnership. Agreements also address relevant conflicts, related-party arrangements and procedures for resolving disagreements.

We seek terms that work for the project and its partners while meeting the fund’s investment mandate and underwriting requirements. Structure follows the economics and risks of the film, with clear agreement on what our capital funds and how investment proceeds are allocated.

We consider audience demand, comparable films and market positioning in our investment analysis. Where useful, we discuss those findings with partners to inform commercial planning while respecting their creative and marketing responsibilities.

AUDIENCE AND MARKET INSIGHT
SELECTIVE COMMERCIAL SUPPORT

Where partners identify a specific need, we may help connect relevant marketing, audience-development or commercial resources. Any additional services require a separately agreed scope, responsibilities and economics.

Spinnaker’s role is defined for each film. Additional support complements the teams responsible for production and distribution; it is not automatically included with a financing commitment.
